Terms of Service
1. Acceptance of Terms
Welcome to Dispatchify. These Terms of Service ("Terms") constitute a legally binding agreement between you and Dispatchify Technologies LLC ("Dispatchify," "we," "us," or "our") governing your access to and use of the Dispatchify platform, including our website, mobile application, and all related services (collectively, the "Platform").
By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Platform.
We reserve the right to modify these Terms at any time. We will notify you of material changes by email to the address associated with your account. Your continued use of the Platform after such notification constitutes acceptance of the modified Terms.
2. Platform Overview
Dispatchify is a national platform that provides tools and services for the security industry. The Platform includes:
- Marketplace:A national marketplace that connects businesses and individuals seeking security services ("Clients" or "Opportunity Submitters") with licensed security service providers ("Providers"). Clients submit opportunities describing their security needs, and Providers purchase access to these opportunities using tokens to contact potential customers.
- RFP Suite:A subscription-based toolset that enables Providers to discover Request for Proposal ("RFP") opportunities from public and aggregated sources, and to generate AI-assisted proposals tailored to those opportunities using the Provider's company profile and the RFP requirements (the "RFP Suite").
Dispatchify is a platform that facilitates connections between Clients and Providers and provides productivity tools for security businesses. We are not a security company, and we do not provide security services directly. We do not employ, endorse, or guarantee any Provider, and we are not responsible for the quality, safety, or legality of any services provided by Providers.
3. Eligibility
To use the Platform, you must:
- Be at least 18 years of age
- Be located in the United States
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Platform under applicable law
3.1 Additional Requirements for Providers
To register as a Provider, you must also:
- Hold a valid security services license or equivalent authorization issued by the appropriate state or local authority in each jurisdiction where you provide services (e.g., Private Patrol Operator license in California, security services contractor license in Texas, or the applicable equivalent in your state)
- Maintain current and valid liability insurance as required by your state's licensing authority
- Provide proof of your security services license and insurance during registration
Licensing requirements vary by state. You are solely responsible for obtaining and maintaining all licenses, permits, and authorizations required to operate as a security services provider in each jurisdiction where you conduct business. We reserve the right to verify your credentials at any time and to suspend or terminate your account if your license or insurance lapses or is revoked.
4. Geographic Limitations
The Platform is intended for use only within the United States. By using the Platform, you represent and warrant that you are located in the United States. We do not offer services to users outside the United States, and we make no representations that the Platform is appropriate or available for use in other locations.
5. Account Registration and Security
5.1 Account Creation
To access certain features of the Platform, you must create an account. When registering, you agree to provide accurate, current, and complete information and to update such information as necessary to keep it accurate and complete.
5.2 One Account Per User
Each individual or business entity may maintain only one account on the Platform. Creating multiple accounts is prohibited and may result in termination of all associated accounts.
5.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
6. Terms for Clients (Opportunity Submitters)
6.1 Submitting Opportunities
By submitting an opportunity, you represent and warrant that:
- You are genuinely seeking security services for the needs described
- All information you provide is accurate and complete
- You have the authority to make inquiries on behalf of the business or property listed
- You consent to being contacted by Providers who unlock your opportunity
6.2 Account Creation for Clients
When you submit an opportunity, an account will be created for you using the contact information provided. You may log in to this account to manage your opportunities and preferences.
6.3 Reviews
Clients may leave reviews and ratings for Providers they have engaged with. Reviews must be honest, accurate, and based on genuine experiences. We reserve the right to remove reviews that violate these standards or our community guidelines.
7. Terms for Providers
7.1 Token System
Providers use tokens to unlock opportunities and access Client contact information.
7.2 Token Purchases
Tokens are available for purchase individually or in bundles. Pricing for tokens is displayed on the Platform and may vary based on subscription tier. Tokens are non-refundable and non-transferable except as expressly provided in these Terms.
7.3 Using Tokens
When you use tokens to unlock an opportunity, you will receive access to the Client's contact information. This access is permanent for the specific opportunity unlocked. Tokens are deducted at the time of unlock and cannot be reversed except through the dispute process described below.
7.4 Token Expiration and Dormancy
Tokens do not expire as long as your account remains active and in good standing. If your account has no login activity for a period of twelve (12) consecutive months, your account will be considered dormant. We will notify you by email before designating your account as dormant and will provide you with an opportunity to reactivate. Unused tokens in dormant accounts may be subject to applicable state unclaimed property or escheatment laws, and Dispatchify reserves the right to comply with such laws as required.
8. RFP Suite
8.1 Description of Service
The RFP Suite is a subscription-based feature available to Providers that includes:
- Access to a searchable database of Request for Proposal (RFP) opportunities aggregated from public and third-party sources
- AI-powered proposal generation that creates draft proposals based on the Provider's company profile, credentials, and the specific RFP requirements
- Tools for customizing, editing, and exporting generated proposals
8.2 AI-Generated Content
The RFP Suite uses artificial intelligence, including third-party AI services, to generate proposal content. By using the RFP Suite, you acknowledge and agree that:
- All AI-generated proposals are drafts and starting points only. You are solely responsible for reviewing, editing, verifying, and approving all content before submission to any RFP issuing authority.
- AI-generated content may contain errors, inaccuracies, omissions, or information that is not appropriate for a specific RFP. Dispatchify does not guarantee the accuracy, completeness, suitability, or quality of any AI-generated content.
- You will not submit any AI-generated proposal without first reviewing it for accuracy, compliance with the RFP requirements, and conformity with applicable laws and regulations.
- Dispatchify is not responsible for any bid outcome, contract award or denial, disqualification, financial loss, or other consequence resulting from your use of or reliance on AI-generated proposals.
- AI-generated proposals do not constitute professional, legal, financial, or compliance advice.
8.3 AI Disclosure Obligations
Certain jurisdictions, government agencies, and individual RFPs may require disclosure that artificial intelligence was used in the preparation of a proposal or bid submission. You are solely responsible for determining whether any AI disclosure requirement applies to any RFP you respond to, including requirements imposed by federal, state, or local procurement regulations, and for making any required disclosures. Dispatchify does not monitor or track AI disclosure requirements across jurisdictions and makes no representation that AI-generated proposals comply with any specific disclosure obligation.
8.4 Ownership of AI-Generated Content
Subject to Section 13 (Intellectual Property), you retain ownership of the final proposals you create using the RFP Suite, including any modifications you make to AI-generated drafts. You grant Dispatchify a non-exclusive, royalty-free license to use anonymized and aggregated data derived from your use of the RFP Suite to improve the Platform and its AI capabilities. Dispatchify does not claim ownership of your company profile data, proprietary business information, or the final customized proposals you produce.
8.5 RFP Data Sources
RFP opportunities displayed in the RFP Suite are aggregated from publicly available sources and third-party data providers. Dispatchify does not guarantee the accuracy, completeness, timeliness, or availability of any RFP listing. RFP listings may be delayed, incomplete, or no longer active. You are responsible for independently verifying all RFP details, deadlines, and submission requirements with the issuing authority.
8.6 RFP Suite Subscription and Auto-Renewal
Access to the RFP Suite requires a separate subscription. Subscription plans, pricing, and included features (such as the number of AI-generated proposals per billing cycle) are displayed on the Platform and will be presented to you clearly before you complete your purchase.
By subscribing to the RFP Suite, you expressly consent to the following automatic renewal terms:
- Your subscription will automatically renew each billing cycle (monthly) at the then-current subscription rate unless you cancel before the renewal date.
- You will be charged the subscription fee on each renewal date using the payment method on file.
- We will send you a reminder notice by email at least fifteen (15) days before each annual renewal, or before any price increase takes effect, whichever is applicable.
- You may cancel your subscription at any time through the cancellation mechanism provided in your account settings on the Platform. If you subscribed online, you may cancel online.
8.7 RFP Suite Cancellation
You may cancel your RFP Suite subscription at any time through your account settings. Upon cancellation:
- You will retain access to RFP Suite features until the end of your current billing period
- No partial refunds will be issued for the remaining time in your billing period
- Previously generated proposals saved to your account will remain accessible
- You will lose access to RFP search and AI proposal generation after your billing period ends
8.8 Acceptable Use of the RFP Suite
When using the RFP Suite, you agree not to:
- Submit AI-generated proposals without reviewing them for accuracy and compliance
- Use the RFP Suite to generate fraudulent, misleading, or deceptive bid content
- Resell, redistribute, or sublicense AI-generated proposals or RFP data to third parties
- Use the RFP Suite to respond to RFPs for services you are not licensed or qualified to provide
- Attempt to reverse-engineer, extract, or replicate the AI models or algorithms used by the Platform
- Use the RFP Suite in any manner that violates applicable procurement laws or regulations
- Systematically scrape, harvest, or bulk-download RFP listings from the Platform
9. Opportunity Disputes
9.1 Dispute Process
If you believe an opportunity is fraudulent or contains materially inaccurate information, you may file a dispute within seven (7) days of unlocking the opportunity. To file a dispute, contact us at info@dispatchify.io with the opportunity details and the basis for your dispute.
9.2 Investigation
We will investigate each dispute and may contact the Client and Provider for additional information. We aim to resolve disputes within fourteen (14) business days, though complex cases may take longer.
9.3 Resolution
If we determine that an opportunity was fraudulent or materially misrepresented, we will credit the tokens used to unlock the opportunity back to the Provider's account. Token refunds are credited to your Platform account only; no cash refunds will be issued under any circumstances.
9.4 Final Decision
Dispatchify's determination regarding disputes is final and binding. There is no appeal process.
9.5 Fraudulent Opportunity Submitters
Clients found to have submitted fraudulent opportunities will have their accounts immediately and permanently terminated.
10. Marketplace Subscription Plans
10.1 Subscription Benefits
Providers may subscribe to marketplace premium plans that offer benefits including:
- Discounted token pricing
- Early access to new opportunities
- Extended access to opportunities
Subscription pricing starts at $99 per month. Current pricing and available plans are displayed on the Platform.
10.2 Billing, Renewal, and Consent
Subscriptions are billed monthly through Stripe. By subscribing, you expressly consent to automatic renewal of your subscription at the then-current rate. Your subscription will automatically renew each month unless you cancel before the renewal date. We will send you a reminder notice by email at least fifteen (15) days before each annual renewal or before any price increase takes effect. You may cancel at any time through the online cancellation mechanism provided in your account settings.
10.3 Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation:
- You will retain access to subscription benefits until the end of your current billing period
- No partial refunds will be issued for the remaining time in your billing period
- Any unused tokens or benefits will remain in your account but will not be refunded
- Discounted token pricing will no longer apply after your subscription ends
11. Promotional Tokens
From time to time, we may offer promotional tokens through marketing campaigns or other promotions. Promotional tokens:
- Are earned through specific promotional campaigns as described in the promotion terms
- Do not expire
- May be used for any available opportunities without restriction
- Cannot be exchanged for cash or transferred to another account
12. Payments and Fees
All payments on the Platform are processed by Stripe. By making a purchase, you agree to Stripe's terms of service. You represent and warrant that you are authorized to use the payment method you provide.
All fees and charges are non-refundable except as expressly provided in these Terms (e.g., tokens credited back for verified fraudulent opportunities). We reserve the right to change our pricing at any time, with notice to existing subscribers. Any price increase for an active subscription will not take effect until the next renewal period, and we will notify you of the increase at least fifteen (15) days in advance.
13. Intellectual Property
13.1 Platform Ownership
The Platform, including all content, features, functionality, software, text, graphics, logos, and trademarks, is owned by Dispatchify or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent.
13.2 User Content
By submitting any content to the Platform, including reviews, feedback, or other materials ("User Content"), you grant Dispatchify a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content throughout the world in any media. You represent and warrant that you own or have the necessary rights to submit the User Content and that the User Content does not violate any third party's rights.
13.3 AI-Generated Proposal Content
You retain ownership of the final proposals you create using the RFP Suite, including your edits and customizations to AI-generated drafts. Dispatchify retains all rights in the underlying AI models, algorithms, prompt templates, and proposal frameworks used to generate content. You may not claim intellectual property rights over the AI system itself, any unmodified AI output template, or the underlying methodology. Dispatchify may use anonymized, aggregated usage data to improve the Platform's AI capabilities.
13.4 RFP Data
RFP listings and data displayed on the Platform are sourced from public and third-party sources. Dispatchify does not claim ownership of the underlying RFP content. Your right to access and use RFP data is limited to your personal business use on the Platform and is subject to your active subscription. You may not scrape, bulk-download, redistribute, or commercially exploit RFP data obtained through the Platform.
13.5 Feedback
If you provide us with any feedback, suggestions, or ideas regarding the Platform, you agree that we may use such feedback without any obligation to compensate you and without any restriction.
14. Prohibited Conduct
You agree not to:
- Provide false, misleading, or inaccurate information
- Create multiple accounts
- Share, sell, or transfer your account or tokens
- Use opportunity information for any purpose other than contacting Clients about the requested security services
- Contact Clients through any method other than the phone number and email provided
- Harass, threaten, or abuse any user of the Platform
- Attempt to circumvent any security features of the Platform
- Use automated scripts, bots, or other tools to access the Platform except as expressly permitted
- Scrape, harvest, or collect data from the Platform
- Interfere with or disrupt the Platform or servers
- Reverse engineer or decompile any part of the Platform
- Submit AI-generated proposals to any RFP without first reviewing and verifying the content for accuracy and compliance
- Use the RFP Suite to generate fraudulent, deceptive, or materially misleading bid content
- Resell, sublicense, or redistribute AI-generated proposals or RFP data to third parties
- Use the RFP Suite to bid on contracts for services you are not licensed, qualified, or legally authorized to provide
- Attempt to extract, reverse-engineer, or replicate the AI models, algorithms, or prompt templates used by the Platform
- Misrepresent AI-generated content as having been prepared by a human professional when the RFP or applicable law requires human-prepared submissions or AI disclosure
- Violate any applicable law or regulation, including procurement laws, AI transparency or disclosure laws, and regulations
15. Account Termination
15.1 Termination by You
You may close your account at any time by contacting us at info@dispatchify.io. Upon closure, any remaining tokens in your account will be forfeited and will not be refunded, except to the extent required by applicable state unclaimed property laws.
15.2 Termination by Dispatchify
We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:
- Violation of these Terms
- Fraudulent or illegal activity
- Misuse of opportunity information
- Submission of fraudulent opportunities
- Misuse of the RFP Suite, including submission of unreviewed or misleading AI-generated proposals
- Abusive behavior toward other users or our staff
- Failure to maintain valid licensing or insurance (for Providers)
Upon termination, you will lose access to your account, any remaining tokens, and any active subscriptions (including the RFP Suite), with no refund except as required by applicable law.
16. Third-Party Services
16.1 Third-Party Links
The Platform may contain links to third-party websites or services that are not owned or controlled by Dispatchify. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
16.2 Third-Party AI Services
The RFP Suite utilizes third-party artificial intelligence services to generate proposal content. By using the RFP Suite, you acknowledge that your company profile information and RFP-related data may be processed by these third-party AI service providers in accordance with our Privacy Policy. Dispatchify is not responsible for the performance, availability, or output quality of third-party AI services.
17. Modifications to the Platform
We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice, including the RFP Suite, AI features, RFP data sources, or the number of proposals included in any subscription tier. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Platform. We may also impose limits on certain features or restrict your access to parts or all of the Platform without notice or liability.
18. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
- The Platform will be uninterrupted, secure, or error-free
- Any opportunity information will be accurate, complete, or reliable
- Clients will respond to or engage with Providers
- Any transaction between Clients and Providers will be successful
- Providers are qualified, licensed, insured, or trustworthy
- Any AI-generated content will be accurate, complete, suitable, or free from errors
- Any RFP listing will be current, accurate, or still accepting submissions
- Use of AI-generated proposals will result in successful bids or contract awards
- AI-generated proposals will comply with specific RFP requirements, procurement regulations, AI disclosure obligations, or applicable laws
You use the Platform at your own risk. We are not responsible for the actions of any user, whether Client or Provider.
18.1 AI-Specific Disclaimers
AI-generated proposals are provided as drafts and starting points only. They do not constitute professional, legal, financial, or compliance advice. You are solely responsible for the content of any proposal you submit to an RFP issuing authority, regardless of whether that content was generated, suggested, or assisted by the Platform's AI features. Dispatchify expressly disclaims any liability for bid outcomes, contract awards, financial losses, regulatory penalties, or any other damages arising from your use of or reliance on AI-generated content. Dispatchify does not warrant that AI-generated proposals will comply with any federal, state, or local AI transparency or disclosure requirements.
19. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISPATCHIFY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO DAMAGES RESULTING FROM AI-GENERATED CONTENT, UNSUCCESSFUL BID SUBMISSIONS, OR RELIANCE ON RFP DATA.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE AMOUNT YOU PAID TO DISPATCHIFY IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
20. Indemnification
You agree to indemnify, defend, and hold harmless Dispatchify and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any rights of another party
- Any content you submit to the Platform
- Any services you provide or receive through connections made on the Platform
- Any proposals you generate, customize, or submit using the RFP Suite, including claims arising from inaccurate, misleading, or non-compliant proposal content
- Your failure to comply with applicable AI disclosure or transparency requirements in connection with proposals generated through the RFP Suite
21. Dispute Resolution
21.1 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Los Angeles County, California, and shall be conducted by a single arbitrator.
The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. This arbitration agreement shall survive termination of these Terms.
21.2 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against Dispatchify.
21.3 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
22. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.
23. Force Majeure
Dispatchify shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
24. General Provisions
24.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dispatchify regarding your use of the Platform and supersede all prior agreements and understandings.
24.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
24.3 Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
24.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
24.5 Notices
We will send notices to you via email to the address associated with your account. You may send notices to us at info@dispatchify.io.
24.6 No Agency
Nothing in these Terms shall be construed to create a joint venture, partnership, employment, or agency relationship between you and Dispatchify. You have no authority to bind Dispatchify in any respect.
